AGRD Partners Group AB (”AGRD”) processes your personal data when you visit AGRD's website or engage with AGRD in other ways, as described herein. The purpose of this policy is to help you understand what personal data about you that AGRD processes and why. In addition to this privacy policy, AGRD may in certain cases provide you with supplementary information about certain processing of personal data. Such information applies in addition to what is stated in this privacy policy. It is voluntary to provide AGRD with personal data. However, if you refrain it may affect the services AGRD provide, the newsletter, invites to seminars and other events that AGRD may send to you.

AGRD may process personal data regarding you in the following situations:

Marketing Communications and Event Information

If you have provided AGRD with your contact details or AGRD otherwise has obtained such data, AGRD will process your personal data to send newsletters, press releases, event invitations, etc., that we believe are relevant for you in your professional capacity. The categories of personal data processed are your name, email address, company name, and position. The processing is based on our legitimate interest to share and market our business. You may, however, choose to opt-out from future marketing communications. Your personal data will be retained for as long as you do not opt-out from future marketing communications.

Mergers and Acquisitions

If you are employed or otherwise associated with a potential member firm of AGRD, AGRD may process limited personal data about you (such as information included in your employment agreement, provided by your employer) in connection with corporate acquisitions, mergers, and due diligence processes. The categories of personal data processed will vary from case to case, but may include your name, email address, contact details, identification information, employment history, terms, role, compensation details, contractual information, as well as any other data reasonably necessary for the due diligence process. AGRD’s processing is based on its legitimate interests for due diligence and transaction processes and, where applicable to assess compliance with legal obligations. The personal data will only be accessed and processed when necessary and will be retained only for as long as necessary, and in any event no longer than until the expiry of the applicable limitation period, which usually is ten (10) years.

AGRD uses cookies when you visit AGRD's website. AGRD uses the term "cookies” as a collective term for web beacons, pixel tags and other similar identifiers and/or tracking technologies. Cookies are small text files that are stored on the visitor's device and are used to improve the visitor's experience of the website. Independent Ethics Committee

AGRD is committed to maintaining high standards of ethical conduct and compliance. To support this commitment, AGRD has established an independent Ethics Committee to ensure compliance with our Code of Professional Conduct. If you are reporting a misconduct, AGRD will process your personal data to document, follow up on, and to decide on whether a breach has been committed. Based on the contents of your report, the categories of personal data processed may include your name, email address, the company you work at, and any other personal data provided by you. The processing is based on AGRD’s legitimate interest of ensuring a high level of ethical business practice and to ensure compliance with our Code of Professional Conduct. Personal data processed in connection with the independent Ethics Committee matters will be retained for as long as necessary to complete the investigation, and following any statutory limitations.

How AGRD Obtains Your Personal Data

AGRD collects your personal data from you, from the company you work for, or through cookies.

Recipients of Your Personal Data

Your personal data may be shared with the following service providers:

Microsoft, provider of document management and IT services (Microsoft 365 and SharePoint);

ii.

Zelly AB, provider of IT systems;

iii.

Whistleblowing Solutions AB (Independent Ethics Committee);

iv.

Member firms within the AGRD group; and

v.

Other companies, for example catering firms, law firms or PR agencies, that provide services to AGRD from time to time.

If AGRD were to be acquired by or merge with another company, personal data may be shared with such companies.

AGRD strives to process your personal data only within the EU/EEA. In the event that a transfer of personal data to a country outside of the EU/EEA nevertheless occurs, for example to providers of external IT services, AGRD will ensure that appropriate safeguards are in place prior to such transfer to protect your personal data, such as the execution of standard contractual clauses approved by the European Commission. 3. Your Rights

You have certain rights regarding the processing of your personal data, including the following:

  • Right to be informed. You may at any time request information about the personal data that AGRD processes about you. li>
  • Right of access. You may request a copy of the personal data that AGRD processes about you.
  • Right to rectification. You may request that AGRD rectify inaccurate or incomplete personal data concerning you.
  • Right to erasure. You may request the erasure of your personal data. This right applies in the following situations:

  • Right to request restriction of the processing. You may request that the processing of your personal data be restricted to certain specific purposes. The right applies in the following situations:

you contest the accuracy of the personal data, for a period enabling AGRD to verify the accuracy of such data;

the processing is unlawful and you oppose the erasure of the personal data;

AGRD no longer needs the personal data for the purposes for which it was collected but you need it to establish, exercise or defend legal claims; or

you have objected to the processing, pending verification of whether AGRD's legitimate grounds for processing the personal data override your grounds for objection.

  • Right to object to the processing. You may object to AGRD's processing of your personal data, for example where such processing is based on a legitimate interest assessment. If you object to such processing, AGRD may no longer process the personal data that is the subject of the objection, unless AGRD can demonstrate compelling legitimate grounds for the processing that override your interests, rights and freedoms, or if the processing is necessary for the establishment, exercise or defence of legal claims.
  • Right to data portability. In certain cases, you may request to receive your personal data and have it transferred to another party. This right applies to personal data that you have provided to AGRD, where such data is processed for the purpose of fulfilling an agreement with you and the processing is conducted by automated means. This right applies only where it is technically feasible.
  • Right to withdraw consent. If you have provided your consent to AGRD for the processing of personal data, such as health-related data, you may withdraw your consent at any time. Upon withdrawal, AGRD will cease processing the personal data covered by such consent; however, the lawfulness of any processing conducted prior to the withdrawal of consent shall not be affected.
  • Right to lodge a complaint with supervisory authority. If you consider that AGRD's processing of your personal data is in violation of the GDPR or other applicable data protection legislation, you have the right to lodge a complaint with the Swedish Authority for Privacy Protection (Sw. Integritetsskyddsmyndigheten (IMY)).
  • You may at any time request to exercise any of your rights by contacting AGRD, contact details are set out below in section 6. If you believe that AGRD processes your personal data in violation of the GDPR or other data protection legislation, you may lodge a complaint with the Swedish Authority for Privacy Protection (Sw. Integritetsskyddsmyndigheten (IMY)).

4. Security


AGRD takes appropriate security measures to protect your personal data from unauthorized access, use, alteration and dissemination. For example, personal data is processed in premises with appropriate physical security measures and in IT systems with adequate IT security controls. Where third parties process personal data on behalf of AGRD, AGRD ensures that such parties are bound by data processing agreements. AGRD also imposes requirements regarding security and confidentiality in accordance with applicable law.

AGRD may update this Policy from time to time. In the event of material changes to the Policy, AGRD will notify you in writing.
